We incorporate and transform companies, prepare corporate documentation, and advise on day-to-day operations, shareholder disputes, management board liability, and liquidations. We also handle services for foreign entities, specifically facilitating their entry into the Polish market. We conduct legal due diligence prior to M&A transactions, negotiate investment and shareholder agreements, and provide support for shareholders’ meetings and general assemblies, including remote sessions via electronic communication.

We provide support at every stage of a construction investment—from drafting contracts and obtaining permits to representing clients before authorities and resolving disputes. We advise investors, developers, and contractors. We also handle disputes regarding construction defects, contractual penalties, final settlements, and the joint and several liability of the investor toward subcontractors, as well as represent parties in proceedings before building supervision authorities.

We provide comprehensive legal services for real estate transactions, investments, commercialization, and management. We verify legal status (due diligence), identify risks, draft and negotiate agreements, and represent clients before notaries and public administration authorities. We also advise on land and mortgage register matters, easements, and the dissolution of co-ownership. In the event of a dispute, we represent clients before common courts at every stage of the proceedings.

We provide legal services to companies in the railway sector involved in production and certification, covering market regulations, concessions, transport agreements, infrastructure investments, and industry-specific disputes.

We provide comprehensive legal support for marketing agencies, ensuring full compliance of campaigns with consumer protection laws and regulations on combating unfair competition. We draft and negotiate precise agreements with influencers (influencer marketing), effectively securing image rights and the transfer of economic copyrights. We also advise on advertising disclosure obligations in accordance with the guidelines of the President of the Office of Competition and Consumer Protection (UOKiK), data protection in campaigns (GDPR), and cases before common courts regarding the infringement of personal rights or copyrights.

We advise entities operating in the Polish betting and gambling market on the full range of regulations resulting from the Gambling Act. We support Clients in the process of obtaining concessions or permits from the Minister of Finance, including the preparation of complete application documentation and demonstrating compliance with capital, organizational, and technical requirements. We also handle permit renewals, changes to regulations, and ongoing relations between operators and the Ministry of Finance or the National Revenue Administration. We advise on advertising and sponsorship of mutual betting—taking into account statutory restrictions—as well as on player registration, identity verification, and Anti-Money Laundering (AML) compliance. In the event of audits or the imposition of fines, we represent operators before administrative authorities and courts.

We represent individuals not engaged in business activity throughout the entire bankruptcy process—from the initial analysis of the Client’s financial situation, through the preparation and filing of the bankruptcy petition via the National Debt Register (KRZ), to the stage of establishing and implementing a creditor repayment plan. Our assistance does not end with the declaration of bankruptcy; we support Clients during proceedings conducted by the trustee (syndyk), as well as in preparing lists of claims, distribution plans for the bankruptcy estate, and all pleadings related to the case. In particular, we represent the bankrupt at hearings regarding the repayment plan, where the court determines the extent and duration of the payments and which debts will be discharged upon completion of the plan. During the repayment period, we monitor reporting obligations, and in the event of a change in life circumstances, we file motions to amend or cancel the plan and discharge remaining liabilities, ultimately leading to a court order confirming the fulfillment of the plan and the final discharge of debt.

We help entrepreneurs regain control over their finances by offering professional management of bankruptcy and restructuring proceedings. We represent debtors in negotiations with creditors, aiming to protect assets and find favorable solutions. We advise on selecting the optimal path from those provided by the Restructuring Law—including arrangement approval proceedings, accelerated arrangement proceedings, arrangement proceedings, and sanation (reorganization) proceedings. We also represent management board members in cases regarding liability for company debts, including defense based on the timely filing of a bankruptcy petition. Additionally, we represent creditors in bankruptcy and restructuring proceedings—filing claims, participating in creditors’ meetings and voting on arrangements, and challenging unfavorable decisions of the judge-commissioner or the bankruptcy court.

 

We represent suspects, defendants, and victims in criminal and fiscal criminal cases, with a particular focus on white-collar crimes. We provide support at every stage of the proceedings, from the initial procedural actions—such as detention, searches, or questioning as a witness—through to executive proceedings, including cases for conditional early release, stay of execution, and the shortening of penal measures.

Our extensive experience and practical knowledge of tax law allow us to effectively protect taxpayers’ interests in disputes with tax and customs-tax authorities. We consistently and persistently strive for a satisfactory resolution for the Client at every stage. We also provide professional tax analysis of contracts and ensure secure, compliant settlement of complex international transactions involving VAT. We represent Clients in tax audits, tax proceedings, and administrative court litigation.

We assist foreigners in legalizing their stay, obtaining work permits, residence cards, and citizenship. We represent clients in administrative and judicial proceedings and advise employers and temporary employment agencies hiring foreigners in Poland and abroad. Our services also include the posting of workers within the European Union, applications for EU long-term resident status, and cases regarding deportation and return orders conducted before the Head of the Office for Foreigners and Voivodeship Administrative Courts.

We specialize in representing borrowers in disputes concerning loans indexed to or denominated in foreign currencies, particularly the Swiss Franc (CHF). We analyze agreements for abusive clauses under Art. 385¹ of the Polish Civil Code and handle cases at every stage of the proceedings. We pursue claims for the invalidation of loan agreements based on the established case law of the Court of Justice of the European Union (CJEU) and the Polish Supreme Court. We also handle post-judgment settlements, including claims for the refund of undue benefits with statutory interest for delay, and defense against bank claims for the so-called compensation for the use of capital.

We advise employers and employees on employment contracts, the resolution of judicial and extrajudicial disputes, terminations, remuneration, mobbing, and discrimination. We support clients in creating work and remuneration regulations, implementing anti-mobbing and whistleblower procedures, as well as in matters regarding non-compete agreements, material liability of employees, and transfers of undertakings.

We advise public and non-public schools, kindergartens, and parents on all aspects of education law. We assist in matters concerning teacher liability, grading, recruitment, and the obligations of educational institutions, as well as in disputes with education boards (kuratoria) and administrative bodies. We provide support both in day-to-day operations and in crisis situations. Our services also include the establishment and transformation of educational institutions, audits of statutes and internal regulations, and representation in disputes before Voivodeship Administrative Courts and the Supreme Administrative Court.

Legal Councel Lucyna Łuczak-Noworolnik offers professional out-of-court mediation in family, civil, commercial, and labor matters. This is a voluntary, confidential, and neutral method of resolving disputes outside of court. The parties involved meet with a mediator who helps them independently develop a satisfactory and lasting agreement. Mediation significantly reduces time (often 1–3 meetings) and costs compared to litigation. Mediations conducted in-person or online end with a settlement agreement which, upon court approval, has the legal force of an enforceable title. We provide comprehensive management of the process—from filing the case and mediation sessions (individual or joint) to drafting the protocol and any mediation settlement. Mediations can be conducted based on an agreement between the parties or a court referral, allowing our Clients to avoid long and costly judicial processes.

We provide comprehensive legal services for foreign investors launching operations in Poland, with a particular focus on entities from the DACH region, other EU member states, and the People’s Republic of China. We advise on the optimal legal structure—including limited liability companies (sp. z o.o.), simple joint-stock companies (P.S.A.), joint-stock companies (S.A.), and partnerships—while considering the tax, corporate, and operational implications of each.

We manage the entire market entry process: registration in the National Court Register (KRS), tax registrations (NIP, VAT, VAT-UE), entry into the Central Register of Beneficial Owners (CRBR), opening bank accounts, and obtaining sector-specific licenses and permits.

Our firm provides ongoing corporate and contractual support, including the drafting of commercial, distribution, and lease agreements with Polish counterparties. We also handle transfer pricing, withholding tax, profit repatriation structures, and complex VAT transactions (including KSeF). Furthermore, we offer expertise in labor and immigration law: posting of workers, work and residence permits for management, and whistleblower procedures.

Should a client decide to exit the Polish market, we manage company liquidations and deregistration from all relevant registers. We communicate with clients in Polish, English, German, French, and Russian; for investors from China, we provide services in cooperation with professional Chinese translators.
